STANDARD TERMS AND CONDITIONS OF SALE


1) Scope

  • This quotation covers only the items/services explicitly listed in the quotation (the “Offer”). Any additional items, accessories, consumables, on-site works, or services not listed are excluded unless added in writing.

2) Validity

  • Offer validity: 30 days from quotation date. After expiry, pricing and availability may change.

3) Prices & Currency

  • Prices are in [LBP / USD] unless stated otherwise.
  • If pricing is in USD, payment may be accepted in USD or equivalent in LBP based on the applicable market rate on the payment date (unless a different rate is agreed in writing).
  • Prices may exclude/ include VAT or other taxes/fees; the quotation will specify.

4) Payment Terms

  • Standard payment terms (unless otherwise stated):
    • 50% advance upon confirmation (purchase order / signed quotation).
    • Remaining balance before delivery or upon delivery/installation (as specified).
  • For services/training: payment is due prior to delivery of the service, unless milestones are specified.
  • Bank/transfer fees and intermediary charges are borne by the customer unless agreed otherwise.
  • Late payments may result in delivery delays, service suspension, or order hold.

5) Order Confirmation

  • Orders are confirmed only upon (a) signed quotation or official purchase order, and (b) receipt of the required advance payment.

6) Delivery & Shipping

  • Delivery timeline is an estimate and starts after order confirmation and advance payment.
  • Delivery location: [Customer address / city].
  • Shipping/transport fees: Excluded.
  • Customer must ensure safe access and a suitable receiving environment (unloading space, power, internet if needed, etc.).
  • Risk transfers to the customer upon delivery/hand-over, unless installation acceptance is specified.

7) Installation & Site Requirements (if applicable)

  • If installation is included, the customer must provide:
    • Stable electricity, proper grounding, and required infrastructure.
    • Adequate space, furniture, mounting surfaces, and safe working conditions.
  • Any extra site work (civil/electrical/network modifications) is excluded unless stated.

8) Acceptance

  • For hardware: acceptance is deemed upon delivery unless a different acceptance procedure is stated.
  • For services: acceptance is deemed upon completion of the agreed deliverables.

9) Warranty (Hardware)

  • Warranty coverage: 6 months from delivery, unless stated otherwise.
  • Warranty covers manufacturing defects under normal use.
  • Warranty does not cover: misuse, accidents, liquid damage, power surges, unauthorized repair/modification, normal wear and tear, or consumables (e.g., batteries, filaments, parts with limited lifespan), unless specified.
  • Warranty service may require inspection; replacement/repair decision is at RoboGeex Academy’s discretion based on diagnosis and supplier policies.

10) Returns / DOA

  • Any visible shipping damage or missing items must be reported within 48 hours of delivery with photos.
  • Dead-on-arrival (DOA) claims must be reported within 3 days, subject to inspection and vendor confirmation.
  • Custom orders and opened/licensed software may be non-returnable unless defective.

11) Software, Licenses & Subscriptions

  • Software licenses/subscriptions are governed by the original publisher’s terms.
  • License fees are generally non-refundable once activated/issued, unless the publisher allows otherwise.

12) Training, Support & Maintenance (if applicable)

  • Included support/training details (hours, format, duration) are as specified in the quotation.
  • Additional support beyond the included scope is chargeable per [hour/day/package].
  • Remote support may require customer to provide internet access and device availability.

13) Changes & Cancellations

  • Any changes requested after confirmation may affect price and delivery time.
  • Cancellation after confirmation may incur costs for items already ordered, prepared, shipped, or completed services.

14) Force Majeure

  • RoboGeex Academy is not liable for delays or failure caused by events beyond reasonable control (e.g., supplier delays, customs, strikes, internet/power disruptions, natural events).

15) Limitation of Liability

  • To the maximum extent permitted by law, RoboGeex Academy is not liable for indirect or consequential damages (loss of profit, loss of data, downtime).
  • Liability, if any, is limited to the value of the items/services supplied under the quotation.

16) Intellectual Property

  • All training materials, curricula, designs, documents, and content provided by RoboGeex Academy remain its intellectual property unless agreed otherwise in writing.
  • Customer may use delivered materials internally for the intended educational purpose only, unless licensing/permission is granted.

17) Confidentiality

  • Both parties agree to keep confidential any non-public information shared during the project/engagement.

18) Governing Law & Disputes

  • This Offer is governed by the laws of Lebanon. Disputes shall be handled by the competent courts in [Beirut / relevant jurisdiction], unless mutually agreed otherwise.

19) Quotations & Errors

  • Typographical errors may be corrected. If a correction affects price/specifications materially, the customer will be notified before processing.
